1. Acceptance of These Terms
These Terms & Conditions ("Terms") are a binding agreement between you and Unlimited Heating & Refrigeration Inc., an Idaho corporation doing business as Unlimited Heating, Plumbing & Refrigeration ("Unlimited," "we," "us," or "our"). By accessing or using our website at unlimitedhp.com (the "Site"), submitting a form, calling us, or requesting services, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.
Eligibility. You must be at least 18 years old and able to form a binding contract to use the Site to request services. If you use the Site on behalf of a business or institution, you represent that you are authorized to bind that entity, and "you" includes that entity.
2. Our Services
Unlimited provides heating, cooling and heat-pump, plumbing, drain and sewer, indoor air quality, and commercial refrigeration services to residential, commercial, and government/institutional customers in Idaho and Washington, including Moscow, Pullman, the greater Palouse region (Latah and Whitman counties), and the Lewiston–Clarkston Valley. We are licensed in Idaho and Washington (WA HVAC UNLIMHR896PK · ID HVAC 010880 · WA Plumbing UNLIMHR793O3 · ID Plumbing 014136). Service availability, scheduling, and scope are confirmed at the time of booking and in the applicable service agreement or work order — the Site itself does not create a service commitment.
These Terms govern your use of the Site. On-site service work is governed by the written estimate, proposal, work order, or service agreement you sign for that work (a "Service Agreement"). If these Terms conflict with a signed Service Agreement, the Service Agreement controls for that work.
3. AI and Automated Content Disclaimer
Portions of the content on this Site — including service descriptions, educational articles, and area pages — are produced with the assistance of artificial-intelligence tools and are reviewed by our team with human oversight before publication. Despite that review, automated content can contain errors or become outdated. Site content is provided for general information only; it is not a promise about the condition of your specific equipment or property, and it does not replace an on-site assessment by a licensed technician. If anything on the Site conflicts with what our technician tells you in person or with a signed Service Agreement, the technician's written assessment and the Service Agreement control.
4. Estimates, Quotes, and Pricing
- Any pricing, ranges, examples, or "starting at" figures on the Site are informational estimates only and are not binding offers.
- Online, phone, or email estimates are preliminary and subject to on-site verification of equipment, site conditions, code requirements, and scope.
- No estimate or quote is binding on either party until it is set out in a Service Agreement signed by you and by an authorized representative of Unlimited.
- Prices may change based on material costs, permit and code requirements, and conditions discovered during work; any change to a signed Service Agreement will be documented in a written change order.
5. No Professional Advice
Content on the Site — including maintenance tips, troubleshooting guides, sizing discussions, and efficiency or rebate information — is general information, not engineering, legal, financial, or safety advice for your specific situation. HVAC, plumbing, and refrigeration systems can be dangerous; do not attempt repairs involving electricity, gas, refrigerant, or pressurized water based on Site content. Always consult a licensed professional for your specific system, and consult the applicable utility or government program directly for current rebate and incentive terms.
6. Intellectual Property; Limited License
The Site and all content on it — text, graphics, logos, images, page designs, and software — are owned by Unlimited or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes in connection with evaluating or purchasing our services. You may not copy, republish, scrape, frame, or create derivative works from Site content, or use our name or logos, without our prior written permission. All rights not expressly granted are reserved.
7. Acceptable Use
You agree not to:
- Use the Site in violation of any applicable law or regulation;
- Submit false, misleading, or fraudulent service requests or reviews;
- Interfere with the Site's operation, attempt to gain unauthorized access to any system, or probe or scan for vulnerabilities;
- Introduce viruses, malware, or other harmful code;
- Use bots, scrapers, or automated tools to harvest content or data from the Site (search-engine indexing of public pages is permitted);
- Impersonate any person or misrepresent your affiliation; or
- Use the Site to send spam or unsolicited commercial messages.
We may suspend or block access for violations of this section.
8. User Submissions
If you submit content to us through the Site — form messages, project descriptions, photos, reviews, or feedback ("Submissions") — you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that Submission to respond to you, perform services, improve our offerings, and (only with your permission) for marketing such as testimonials. You represent that your Submissions are accurate, that you own or have rights to them, and that they do not violate anyone else's rights. We are not obligated to keep Submissions confidential except as described in our Privacy Policy, and we may remove any Submission at our discretion. Do not send us confidential or sensitive information (including health information) through the Site.
9. Third-Party Services and Links
The Site references and links to third-party sites and services — including social and review platforms (Facebook, Yelp, Google), financing application pages, and manufacturer resources (for example, Daikin). We do not control third parties and are not responsible for their content, products, terms, or privacy practices. Your dealings with any third party are solely between you and that party.
10. Financing and Promotional Terms
Financing for qualifying projects is offered through a third-party financing partner. All financing is subject to credit approval by the financing partner and to the partner's own terms and disclosures. Unlimited is not a lender, does not make credit decisions, and does not guarantee approval, rates, or terms. Any rates, plan lengths, or payment examples that may appear on the Site are illustrative only and are superseded by the financing partner's actual disclosures. Manufacturer rebates, utility incentives, and tax credits are governed by the issuing organization's current rules and are not guaranteed by Unlimited.
11. Disclaimer of Warranties (Site)
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, TIMELY, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
This section applies to the Site. Warranties for installed equipment and performed work, if any, are stated exclusively in your signed Service Agreement and in applicable manufacturer warranties, and nothing in these Terms limits warranty rights you have under a signed Service Agreement or rights that cannot be disclaimed under applicable law. Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- No indirect damages. NEITHER UNLIMITED NOR ITS OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Cap. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
- Exceptions. Nothing in these Terms limits liability that cannot be limited by law, including liability for gross negligence, willful misconduct, personal injury, or property damage caused by our on-site service work to the extent a signed Service Agreement or applicable law provides otherwise.
Some jurisdictions do not allow limits on incidental or consequential damages, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Unlimited and its officers, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your Submissions, (c) your violation of law or of any third party's rights in connection with your use of the Site, or (d) fraudulent or misleading information you provide to us. We will promptly notify you of any such claim and may participate in the defense with counsel of our choosing at our own expense.
14. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. Subject to Section 15 (Arbitration), the exclusive venue for any court proceeding is the state or federal courts serving Latah County, Idaho, and both parties consent to personal jurisdiction there. This choice of law does not deprive you of mandatory consumer protections of the state where you reside (for example, Washington) that apply notwithstanding a choice-of-law clause.
15. Dispute Resolution: Notice, Binding Arbitration, and Class-Action Waiver
Please read this section carefully — it affects your legal rights.
15.1 Informal Dispute Notice First
Before either party files an arbitration or court proceeding, that party must send the other a written notice of dispute describing the claim and the relief sought — to us at the mailing or email address at the top of these Terms (attention "Legal — Dispute Notice"), or to you at the contact information you provided. The parties will attempt in good faith to resolve the dispute within 60 days of the notice. Most concerns can be resolved this way — please call us first at (208) 596-7757.
15.2 Binding Arbitration
If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Site (except those described in Section 15.4) will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitration will be conducted by a single arbitrator, in Latah County, Idaho, or — at your election for consumer disputes — in the county where you reside, by videoconference, or by written submissions. The arbitrator may award the same individual relief a court could award. Each party bears its own attorneys' fees unless the arbitrator awards them under applicable law; AAA filing and arbitrator fees for consumer claims are allocated per the AAA Consumer Rules, and if your claim is for less than $10,000, we will pay AAA filing, administration, and arbitrator fees beyond the portion the AAA rules require you to pay, unless the arbitrator finds the claim frivolous.
15.3 Class-Action Waiver
Both parties agree that disputes will be resolved only on an individual basis. NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court under Section 14, and the waiver remains enforceable for all other claims.
15.4 Exceptions
Either party may (a) bring an individual claim in small-claims court in a court of competent jurisdiction, and (b) seek injunctive or other equitable relief in court to protect intellectual-property rights or prevent unauthorized access to systems.
15.5 30-Day Right to Opt Out of Arbitration
You may opt out of this arbitration agreement (Sections 15.2–15.3) by sending written notice within 30 days of first accepting these Terms to: Unlimited Heating & Refrigeration Inc., Attn: Arbitration Opt-Out, 2910 Clyde Rd, Moscow, ID 83843, or by email to info@unlimitedhp.com with the subject "Arbitration Opt-Out." Include your name, address, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
16. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful. Sections that by their nature should survive termination — including Sections 6, 8, and 11 through 15 — survive.
17. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
18. Entire Agreement; No Waiver; Assignment
These Terms, together with the Privacy Policy and any signed Service Agreement, are the entire agreement between you and Unlimited regarding the Site, and supersede all prior understandings on that subject. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
19. Changes to These Terms
We may revise these Terms from time to time. The "Last Updated" date at the top shows the latest revision. Material changes will be indicated by prominent notice on the Site. Changes apply prospectively; your continued use of the Site after changes are posted means you accept them. Changes to Section 15 (arbitration) will not apply to disputes that arose before the change unless you agree otherwise.
